These Terms of Use (“Terms”) form a binding agreement between you and Vijnara. Where your organization has signed a separate Master Services Agreement or Order Form (“Agreement”) with us, that Agreement governs your use of the platform and prevails over these Terms in the event of a conflict.
By accessing or using vijnara.com or the Vijnara platform (together, the “Service”), you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
Vijnara provides an enterprise AI search and secure Retrieval-Augmented Generation (RAG) platform that returns grounded, source-cited answers across an organization's connected knowledge, subject to permission-aware access controls. We may update, enhance or modify features of the Service over time. We may also impose usage limits or suspend features as reasonably necessary to operate the Service securely and reliably.
The Service is intended for business and organizational use by authorized users who are at least 18 years old. You are responsible for maintaining the confidentiality of your credentials, for all activity under your account, and for ensuring your users comply with these Terms. Notify us promptly of any unauthorized access or security incident affecting your account.
You agree not to, and not to permit any user to:
As between the parties, you retain all rights to the documents, files and data you connect to the Service (“Customer Data”). You grant Vijnara a limited, non-exclusive license to process Customer Data solely to provide and support the Service on your behalf. You are responsible for the accuracy, legality and your rights to use Customer Data, and for configuring the access controls that govern retrieval. Our handling of personal data is described in the Privacy Policy.
The Service generates answers from retrieved, permitted context and provides source citations to support verification. Generated output may be incomplete or inaccurate and is provided as assistance, not professional advice. You are responsible for reviewing output and for decisions made in reliance on it. The Service is not a substitute for legal, financial, medical or other professional judgment, and should not be used as the sole basis for material decisions.
The Service, including its software, models, design, and all related intellectual property, is owned by Vijnara and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term, subject to these Terms and your Agreement. No rights are granted except as expressly stated. Feedback you provide may be used by us without restriction to improve the Service.
The Service may integrate with or rely on third-party services, connectors and model providers. Your use of those services may be subject to their own terms, and we are not responsible for third-party services or content. We select and engage sub-processors under contractual obligations consistent with our Privacy Policy.
Fees, billing terms and subscription scope are set out in your Order Form or Agreement. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due per the agreed schedule. We may suspend the Service for non-payment after reasonable notice. Free trials or evaluations, if offered, are provided as-is and may be modified or discontinued at our discretion.
Each party may access confidential information of the other. The receiving party will use such information only to perform under these Terms and will protect it with at least reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party without confidentiality obligations.
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Vijnara disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, availability or uninterrupted operation. We do not warrant that generated output will be error-free or that the Service will meet all of your requirements.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Except for liability that cannot be excluded by law, each party's total aggregate liability arising out of or related to the Service will not exceed the amounts paid or payable by you to Vijnara in the twelve (12) months preceding the event giving rise to the claim, or as otherwise stated in your Agreement.
You will indemnify and hold Vijnara harmless from claims, damages and reasonable costs arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by Vijnara. Any indemnities set out in your Agreement will govern where applicable.
These Terms apply while you use the Service. We may suspend or terminate access if you materially breach these Terms or your Agreement, or where required to protect the Service or comply with law. On termination, your right to use the Service ends and we will handle Customer Data as described in your Agreement and our Privacy Policy. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the jurisdiction specified in your Agreement, or, absent an Agreement, the jurisdiction in which Vijnara is established, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes in good faith; unresolved disputes will be subject to the courts or dispute-resolution mechanism stated in your Agreement.
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
